Evernorth Shares Drop 47% Amid Major Sell-Off Risks

Shares of Evernorth Holdings (NASDAQ: XRPN), specializing in XRP investments, have decreased by approximately 47% from the peak reached after the company's debut on Nasdaq in October 2026. Additional investor attention was drawn by a preliminary SEC document providing for the registration of up to 73.69 million shares for potential resale by existing shareholders.

Evernorth began trading under the ticker XRPN on October 12 following the completion of a merger with a special purpose acquisition company (SPAC) on October 9.

On the first day of trading, shares reached $19.39. By the end of the session on November 5, their value was about $10.30, approximately 47% below the mentioned peak.

Evernorth's business is related to accumulating and managing reserves of XRP. At the time of the merger's completion, the company owned approximately 473 million tokens. Its strategy involves increasing the amount of XRP per share.

Therefore, Evernorth's valuation can be influenced by both changes in the XRP rate and factors related to the trading of its own shares.

What the registration of 73.7 million shares means

On October 30, Evernorth filed a preliminary S-1 form with the U.S. Securities and Exchange Commission, providing for the registration of up to 73,688,162 Class A shares for potential resale by 21 security holders.

This volume is approximately 2.8 times the number of Class A shares outstanding as of October 22 – about 26.09 million.

However, the registered amount includes not only already issued shares. Of the total volume, about 19.1 million shares were outstanding, while the rest may be issued following the conversion of Class C securities, exchange of company stakes, or warrant exercises.

Among the largest investors listed in the document are Arrington XRP Capital Fund with up to 33.82 million shares, Ripple Labs – 18.14 million, four SBI entities – about 11.79 million, and Larsen Lam Children’s Remainder Trust – 7.15 million shares.

Other participants include Pantera, GSR Markets Switzerland, Payward, and gumi.

Filing the S-1 form does not confirm that the listed investors have already started selling securities. For registered resales to occur, the document must take effect, and individual transactions may be further restricted by shareholder agreements.

In particular, for Ripple, Arrington, and an entity associated with Ripple co-founder Chris Larsen, a six-month sales restriction period is provided. Its planned completion is on April 9, 2027, although the agreements provide for certain exceptions.

Evernorth will not receive proceeds from the resale of shares by existing holders. The funds from such operations will go to the sellers, not the company itself.

Why investors are watching the share structure

An additional factor is related to Evernorth's entry into the public market via a SPAC.

Before the deal closed, holders of about 80.3% of the public SPAC shares, which had redemption rights, submitted them for redemption. The total payout amounted to approximately $195.4 million.

This reduced the cash remaining from the SPAC before the merger was completed.

Registering a large number of shares for potential resale can increase uncertainty about the future supply of XRPN shares on the market. However, the volume of actual sales and their timing remain unknown.

Importantly, the potential sale of Evernorth shares does not imply an automatic sale of XRP from its cryptocurrency reserves. Separate operations with digital assets would be required for this.

As of November 6, the submitted documents do not confirm Evernorth's decision to sell its XRP in connection with the share registration.

The future dynamics of XRPN will depend on the value of the company's cryptocurrency reserves, its capital structure, and the actual activity of shareholders after the applicable restrictions end.
