NIS Deal on Pause: US Grants Hungary’s MOL Additional Two Weeks for Talks with Gazprom Neft

The largest Hungarian oil and gas conglomerate, MOL, has negotiated a critical extension with the United States government regarding the timeline for finalizing strategic talks. The European corporation has been granted an additional two weeks to resolve terms for purchasing a controlling stake in the Serbian energy provider NIS. The official announcement regarding this adjusted schedule was delivered by Dubravka Đedović Handanović, the Minister of Mining and Energy of Serbia.

As a result of Washington's regulatory decision, the management of the Hungarian firm now has a legitimate window of opportunity until June 6, 2026, to conclude the transaction with the Russian side to buy out 56.16% of the voting shares. The previous strict deadline limiting the discussions had expired on May 22, posing significant risks of a potential breakdown in negotiations. Currently, the Serbian enterprise remains under the direct operational control of Gazprom and Gazprom Neft, whose combined shareholding comprises the core of the ongoing commercial deliberations.

Notably, the Serbian company NIS plays a pivotal role in maintaining the energy security of the Balkan region, as it operates the only functioning oil refinery in Serbia. Ahead of the anticipated ownership shift, the capital structure is distributed with Gazprom Neft holding 44.9%, Gazprom controlling 11.3%, and the Serbian government retaining slightly under thirty percent of the enterprise. This major acquisition process entered its active phase back in January of this year, when MOL representatives publicly declared the signing of a preliminary binding agreement, laying the groundwork for the departure of Russian capital from this key Serbian asset.
