Orca and Loopscale Merge to Form Formation

The decentralized exchange Orca and the lending protocol Loopscale announced a merger into a single company called Formation. The teams reported this on Wednesday. The new firm is based in New York and is led by Loopscale co-founder Luke Truitt (CEO). Co-founder Mary Gunaratne holds the position of Chief Operating Officer, and Christopher Montalbano from Orca has become the Director of Strategy and Legal Affairs. The financial terms of the deal are not disclosed.

Formation combines Orca's trading infrastructure with Loopscale's lending order book and vaults: according to Loopscale's FAQ, an issuer will be able to launch an asset with active trading and credit from day one. Orca has processed over $550 billion in trading volume since 2021, while Loopscale reports over $150 million in deposits and more than $2 billion in loans issued, according to the companies' own data. Orca was launched in February 2021 and raised $18 million in Series A in September of the same year. Loopscale, formerly known as Bridgesplit, raised $4.25 million in 2021 from CoinFund, Jump, Coinbase Ventures, Solana Ventures, and Room40. Formation targets companies in the fields of AI, energy, robotics, and defense, whose financing needs, in its assessment, are poorly served by traditional markets. Truitt called the merger a bet that capital markets need to keep pace with the industries they finance. "Every major technological revolution has been accompanied by a financial one," he stated in a press release.

Formation is exploring opportunities opened by the SEC's innovative exemption from September 17: the five-year document allows tokenized securities platforms to trade tokenized shares of American companies through permitted automated market maker pools without registering as exchanges. Formation plans to launch such a platform and obtain additional licenses, relying on Orca's nearly two-year interaction with securities and commodities regulators. The press release specifies that the planned products are subject to legal and regulatory requirements and may not be available to U.S. residents. Lending, borrowing, vaults, and Loopscale's order book continue to operate as before, with existing positions unchanged. ORCA will become the token of the entire Formation, so Loopscale will not issue its own. Loopscale points continue to accrue and will be converted later this year. Over the next 12 months, Formation plans to introduce tools for issuers and new capital allocation strategies alongside existing products in trading, lending, and vaults.
